CHERTOFF CAPITAL SERVES AS EXCLUSIVE INVESTMENT BANKING ADVISOR TO TRIPWIRE IN SALE TO BELDEN FOR $710 MILLION

WASHINGTON, D.C. – On January 2, 2015, Belden Inc. (NYSE: BDC), a global leader in  signal transmission solutions for mission-critical applications, acquired Tripwire, a leading global provider of advanced threat, security and compliance solutions to enterprises, service providers, manufacturers, and government agencies.  Chertoff Capital served as the exclusive investment banking advisor to Tripwire, a portfolio company of Thoma Bravo, in the transaction.

This transaction illustrates the value of Chertoff Capital’s deep expertise in the cybersecurity market and access to buyers across the technology landscape. The $710 million strategic acquisition of Tripwire by Belden exemplifies this growing demand for cybersecurity capabilities, specifically in the industrial, enterprise and broadcast markets that Belden serves. Building on Belden’s leadership in the deployment of cybersecurity in Industrial and Energy markets, in September, Belden and Tripwire announced a joint initiative to further enhance critical infrastructure cybersecurity in manufacturing organizations. The acquisition will now create a leading platform for enabling cybersecurity across the Internet of Things in industrial, manufacturing and similar environments.

Commenting on the transaction, Chad Sweet, CEO of Chertoff Capital, stated “The sale of Tripwire to Belden is a landmark transaction for the security industry, as it demonstrates the criticality of advanced cyber security solutions to all industries – including the industrial and manufacturing sectors that Belden serves. We fully expect to see continued mergers and acquisition activity among providers of cybersecurity solutions and industrial software and hardware vendors. This transaction is another example of our Firm’s ability to identify and deliver on emerging trends through our investment banking platform.”

“Further, through Chertoff Capital’s parent company, The Chertoff Group helped Tripwire accelerate its core organic growth while Chertoff Capital ultimately helped achieve a successful liquidity event for the company’s investors at Thoma Bravo. The full lifecycle valuation proposition that the Chertoff business model offers continues to drive significant successes for our clients and their shareholders.”
